VE HUB TERMS OF USE AS OF SEPTEMBER 2020

PLEASE READ THESE TERMS (“TERMS”) CAREFULLY BEFORE YOU USE VIRTUAL ENTERPRISES INTERNATIONAL’S (“VE”) HUB (at “hub.veinternational.org”) (THE “VE HUB”). BY USING THE VE HUB YOU ARE INDICATING YOUR ACCEPTANCE OF THESE TERMS.

Ownership of Materials. All materials, designs, software, documents, data and information contained or referenced in the VE Hub, including, but not limited to, program names, curriculum, written guides, plans and source code, and all related intellectual property rights, including copyright, trademark and patent (collectively, “VE Materials and IP”), are and shall at all times be and remain the property of VE.

Use of Materials. VE grants you a non-exclusive, personal, revocable, non-transferrable license to view, use and download the VE Materials and IP, in all cases solely in connection with and solely for the purpose of your participation in the VE program, provided that you do not remove from the VE Materials and IP any copyright or other proprietary notices. Without limiting the generality of the foregoing you may NOT:

1. use the VE Materials and IP for any purpose other than your participation in the VE program,
2. alter, modify or create derivative works relating to or in any way reproduce the VE Materials and IP, except as expressly necessary to carry out the activities of the VE program,
3. make available to a third party or otherwise publicly display or distribute the VE Materials and IP, except as expressly necessary to carry out the activities of the VE program,
4. make any part of the VE Hub available as part of another website, database or networked computer environment, except as expressly necessary to carry out the activities of the VE program,
5. otherwise take any action contrary to VE’s rights in the VE Materials and IP, and
6. assist any others to do any of the foregoing prohibited actions.

Disclaimer. THE VE MATERIALS AND IP AND VE HUB ARE, TO THE FULLEST EXTENT ALLOWABLE BY LAW, PROVIDED "AS IS” AND WITHOUT ANY WARRANTIES OF ANY KIND (EXPRESS, IMPLIED OR STATUTORY), INCLUDING BUT NOT LIMITED TO WARRANTIES OF QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY AND WARRANTIES THAT THE VE HUB OR ITS SERVER ARE FREE FROM ERRORS, VIRUSES, WORMS OR “TROJAN HORSES”.

Limitation of Liability. IN NO EVENT WILL VE OR ANY THIRD PARTIES MENTIONED IN THE VE MATERIALS AND IP BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR OTHERWISE (INCLUDING WITHOUT LIMITATION THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION), WHATEVER THE CLAIM (TORT, BREACH OF CONTRACT OR WARRANTY OR OTHERWISE) AND WHATEVER THE FORUM, AND WHETHER ARISING OUT OF OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE VE MATERIALS AND IP AND/OR THE VE HUB, OR ANY OTHER CAUSE WHATSOEVER, AND WHETHER OR NOT VE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Exception to Disclaimer and Liability Limitations. Applicable law may not allow the exclusion of incidental or consequential damages and/or the exclusion of implied representations and warranties, so some or all of the above exclusions and limitations may not apply to you.

Breach of these Terms. IF YOU BREACH ANY OF THESE TERMS, YOUR AUTHORIZATION TO USE THE VE MATERIALS AND IP AND THE VE HUB WILL IMMEDIATELY TERMINATE. ADDITIONALLY, YOU MUST IMMEDIATELY TERMINATE ALL LINKS OR CONNECTIONS TO THE VE HUB, DESTROY ALL DOWNLOADED OR PRINTED MATERIALS, ALL COPIES THEREOF AND ALL NOTES, DOCUMENTS, WORKS AND MATERIALS PREPARED BASED ON, USING OR INCORPORATING THE VE HUB AND/OR VE MATERIALS AND IP AND ENSURE ALL KNOWN THIRD PARTIES DO THE SAME.

Applicable Laws. These Terms will be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of laws.
